Regaining Trust - New board — not 'advisory board' — key for EMC
But self-inflicted events of the past half-decade or so have seriously sullied the non-profit utility's reputation. Former president and CEO Dwight Brown is facing a 35-count indictment, mostly on racketeering charges in connection with his alleged use of the utility as a piggy bank for personal enrichment. Equally to blame for the utility's downfall is its 10-member board of directors, who blindly assented to Brown's schemes and then OK'd enormous sums for his legal defense and for deceptive public relations efforts to try to contain the self-made disaster. Now the utility has a new head, EMC veteran W.T. "Chip" Nelson. He's reportedly popular with the rank-and-file and makes a good first impression. But asked at a recent sit-down session with the MDJ editorial board what his plans are for repairing the utility's decayed relationship with members and the public, many of his answers fell short of what his needed. Nelson did mention several sincere efforts to address the utility's problems, including his idea of setting up an "advisory board" - one almost certain to be named by management. Moreover, such boards are usually just another layer of bureaucracy and would be the last thing that Cobb EMC needs. That utility simply needs a new board that's strongly aware of its fiduciary duties to coop members - not a head-in-the-sand board in the hip pocket of the CEO. What Cobb EMC desperately needs is a strong board of directors that will function as a board is supposed to: one that will ask tough questions of management and hold it accountable, all the while keeping a keen eye on the bottom line and providing affordable electric power. In short, a board that will take the necessary steps to win back the public's trust - not just be Chapter Two of the tone-deaf board that has run the EMC in recent years and created unfortunate problems for Brown, itself and the co-op. I’m not aware of any circumstance where shareholders have less transparency and rights than in the current EMC system in Georgia. All public and privately held corporations have mechanisms in place to protect shareholder interests. In the case of public companies, there are open shareholder meetings, public board elections, stock and credit analyst reviews and regulatory oversight. Privately held companies, outside of EMC’s, typically have well vetted, iron-clad shareholder agreements which prevent company officers from using the company as their personal piggybank.Information On The Great Depression - News
